Purpose and Scope of Application
These general terms and conditions of sale govern the contractual relations between Swiss-Services and its professional customers, individuals or companies, and apply to all sales of products and services carried out in France. These conditions replace any previous conditions and prevail over all conditions of purchase of the customer, unless prior written agreement of Swiss-Services .
Quotation and Acceptance of Order
Any service will be undertaken by Swiss-Services only after acceptance of a written quotation, dated and signed by the customer, accompanied by a deposit of at least 30% of the total amount. Acceptance of the quotation also constitutes acceptance of these general conditions of sale.
Retention of Title
The goods supplied remain the property of Swiss-Services until full payment of the agreed price (law n°80-335 of May 12, 1980). However, upon delivery, the customer assumes the risks of loss or deterioration of the goods, as well as liability for any damage they may cause.
Payment Terms Unless otherwise provided, Swiss-Services
invoices are payable within 30 days of the invoice date, in accordance with Articles L.441-10 et seq. of the French Commercial Code. Payments must be made by bank transfer or any other payment method accepted by Swiss-Services .
Late Payment Penalties
In the event of late payment, late payment penalties at a rate of 12% per year will be applied from the day after the due date, without a reminder being necessary, in accordance with Article L.441-10 of the French Commercial Code. A fixed recovery fee of 40 euros will also be due for each unpaid invoice, in accordance with Article D.441-5 of the French Commercial Code.
Recovery Compensation
If a formal notice by registered letter with acknowledgement of receipt does not allow the recovery of the sums due, a fixed compensation of 10% of the unpaid amount will be payable, with a minimum of 75 euros, in addition to the late payment interest mentioned above.
VAT Conditions
It is the customer’s responsibility to provide the necessary information on the applicable VAT regime. Any failure on their part will result in additional costs to be borne by them in the event of an invoicing error. In particular, customers subject to VAT deferral, under Article 283-2 of the General Tax Code, must inform Swiss-Services when ordering.
Receipt of Goods and Complaints
Goods and services are deemed accepted eight days after their delivery, unless a detailed complaint is received by registered letter with acknowledgement of receipt within this period. After this period, no complaints will be accepted.
Termination Clause
In the event of non-performance of its obligations by the customer, Swiss-Services may suspend or terminate all current orders without prejudice to its rights to claim damages. All amounts due will become immediately payable.
Acceptance of the Conditions
By signing the quote or placing an order, the customer tacitly and unreservedly accepts these general conditions of sale.
Competent Court
Any dispute relating to the interpretation or execution of these conditions will be subject to the exclusive jurisdiction of the courts of Paris, in accordance with article 48 of the Code of Civil Procedure.
Technical Inspection Obligation
The customer undertakes to have the installation inspected by an approved technical inspection body (OCTA) according to the frequency provided for by the regulations in force, in particular those of the Labor Code and the safety standards in force.
